Quotations & Proposals

Unless otherwise stated, quotations, proposals and estimates provided by TEAM WEB SPARKS Ltd are valid for 30 days from the date of issue.

Project scope, pricing, timescales and deliverables may be subject to review if a proposal is accepted after this period.

Client Projects & Intellectual Property

Unless otherwise agreed in writing, all concepts, designs, source code, documentation, development work and other deliverables created by TEAM WEB SPARKS Ltd remain the property of TEAM WEB SPARKS Ltd until all invoices relating to the project have been paid in full.

Upon receipt of full payment, ownership of the completed project deliverables created specifically for the client shall transfer to the client for use within their own organisation and business operations.

Clients may use, modify, maintain and further develop their website, software or digital platform for their own business purposes following project completion.

Unless otherwise agreed in writing, clients may not resell, redistribute, licence or commercially exploit project deliverables, source code or intellectual property created by TEAM WEB SPARKS Ltd as standalone products or services for third parties.

The sale, transfer or acquisition of a client’s business, including associated websites, software platforms and digital assets, shall not be considered a breach of these terms.

TEAM WEB SPARKS Ltd retains ownership of any pre-existing intellectual property, proprietary tools, frameworks, methodologies, libraries, reusable code, development processes and know-how used during the delivery of a project.

Where third-party software, plugins, themes, APIs, frameworks or licensed assets are incorporated into a project, ownership and usage rights shall remain subject to the terms and conditions of the relevant third-party provider.

Project Acceptance

All projects are subject to technical review, commercial agreement and resource availability.

TEAM WEB SPARKS Ltd reserves the right to decline projects where we believe technical limitations, platform quality, security concerns, unsupported software or other factors may prevent us from delivering services to an acceptable standard.

In some cases, we may recommend redevelopment, platform migration or alternative solutions where we believe these represent better long-term value than continuing to support or modify an existing system.

Third-Party Platforms & Services

Many projects rely on third-party software, hosting providers, plugins, APIs, payment gateways and external services.

Whilst TEAM WEB SPARKS Ltd will make reasonable efforts to support and integrate these services, we cannot guarantee the availability, performance, security or future compatibility of third-party products and services beyond our control.

Clients remain responsible for maintaining any required third-party licences, subscriptions and service agreements unless otherwise agreed in writing.

Client Responsibilities

Clients are responsible for providing accurate information, content, access credentials, approvals and feedback required for the delivery of services.

Delays in providing information, approvals, content or access may impact project timescales and delivery dates.

TEAM WEB SPARKS Ltd shall not be liable for delays caused by factors outside of its reasonable control, including delays caused by the client, third-party suppliers or external service providers.

Hosting & Support Services

Where TEAM WEB SPARKS Ltd provides hosting, maintenance or support services, additional service-specific terms, service level commitments and support arrangements may apply.

Whilst we make reasonable efforts to maintain availability, performance and security, no website, server or online service can be guaranteed to be completely free from downtime, security risks or technical issues.

Clients are responsible for maintaining valid licences, subscriptions and third-party services required for the operation of their website or platform unless otherwise agreed in writing.

Open Source Software

Many of the platforms and technologies used by TEAM WEB SPARKS Ltd, including WordPress, WooCommerce, Magento and other open-source software, are subject to their own licensing terms.
